1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Carific AI ("we," "us," or "our") regarding your use of our AI-powered resume analysis platform and services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Account Registration and Security

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account
• Be at least 16 years of age to create an account

3. Use of the Service

3.1 License

4. AI-Powered Services

4.1 AI Analysis & Feedback

Our Service uses artificial intelligence to analyze resumes and provide feedback. You acknowledge and agree that:

• AI-Generated Content: All analysis, scores, and feedback are generated by AI models and may not be 100% accurate.
• No Guarantee of Results: We do not guarantee that using our Service will result in job offers, interviews, or employment.
• Professional Advice: Our AI feedback is not a substitute for professional career counseling or legal advice.
• ATS Compatibility: While we analyze ATS compatibility, we cannot guarantee your resume will pass any specific ATS system.
• Human Review: You should review and verify all AI-generated suggestions before implementing them.

4.2 Limitations of AI

You understand that AI models:

• May produce unexpected, inaccurate, or biased results
• Cannot understand context as well as humans
• Are continuously improving but not perfect
• Should not be the sole basis for career decisions

5. Content Ownership and Rights

5.1 Your Content

You retain all ownership rights to your resume content and any materials you upload ("Your Content"). By uploading Your Content, you grant us a limited license to:

• Process your resumes through our AI models
• Store your content to provide the Service
• Display analysis results to you
• Use anonymized, aggregated data to improve our services

5.2 Our Content

All intellectual property rights in the Service, including software, algorithms, AI models, design, text, graphics, and trademarks, are owned by us or our licensors. You may not copy, modify, or distribute our content without permission.

6. Payment and Billing

6.1 Pricing

Certain features of our Service may require payment. All prices are in USD unless otherwise stated. We reserve the right to change our pricing at any time.

6.2 Billing

By providing payment information, you:

• Represent that you are authorized to use the payment method
• Authorize us to charge the applicable fees
• Agree to pay all fees and applicable taxes

• Warranties that defects will be corrected

We do not warrant that your use of the Service will lead to employment or career advancement. You use the Service at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CARIFIC AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from AI-generated recommendations or analysis
• Damages resulting from unauthorized access to your account
• Damages resulting from errors, bugs, or service interruptions

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months prior to the claim, or $100 USD, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Carific AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you upload to the Service

10. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Any other reason at our sole discretion

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive (e.g., liability limitations, dispute resolution).

11. Dispute Resolution and Arbitration

Any disputes arising out of or relating to these Terms or the Service will be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial and to participate in class action lawsuits.
